Client Materials remain the property of the Client at all times. B.L.K. O.P.S. Security Contractors LLC does not claim ownership of client information, system architectures, technical specifications, source code, or other materials provided by or accessed on behalf of the Client. We process and maintain Client Materials solely for the purpose of providing the agreed Services and return or transfer such materials to the Client upon termination of the service engagement, subject to the terms of the applicable service agreement.
Fees for our Services are determined on a per-engagement basis and are specified in the applicable service agreement. Unless otherwise agreed in writing, the following general payment terms apply:
B.L.K. O.P.S. Security Contractors LLC reserves the right to suspend or terminate Services if invoices remain unpaid for more than sixty (60) days, subject to the terms of the applicable service agreement and applicable law.
Confidentiality is fundamental to our business, particularly given the sensitive system architectures, technical specifications, and operational data we handle during service engagements. Both parties agree to maintain the confidentiality of any non-public information disclosed by the other party in the course of engaging with our Website or Services.
Confidential Information includes, but is not limited to, system architectures, technical specifications, source code, infrastructure configurations, business plans, strategic initiatives, financial information, research data, engineering documentation, trade secrets, and any other information that is reasonably understood to be confidential or proprietary based on its nature or the circumstances of disclosure.

If a Client identifies a defect in the Services within thirty (30) days of delivery, B.L.K. O.P.S. Security Contractors LLC will, at its option, correct the defect or adjust the fees, provided that the defect is brought to our attention in writing within the warranty period and that the defect is directly attributable to our work.
Our Services include integrated systems design, security-first engineering, management consulting, scientific R&D, architectural and engineering services, specialized design, and technical advisory, but do not include legal advice, tax advice, or investment advice. We are not a law firm, accounting firm, or registered investment advisor. Clients requiring legal, tax, or investment advice should engage a licensed attorney, CPA, or registered investment advisor. Our advisory services are designed to provide technical and strategic guidance, not to replace professional legal, tax, or investment counsel.
Our Services may involve the use of third-party technology platforms, engineering tools, research systems, and specialized software. While we select and recommend third-party platforms based on our professional judgment, we do not independently warrant the performance, availability, or security of third-party products. Warranty and support for third-party platforms are provided by their respective vendors.

Clients acknowledge that systems design and technical services outcomes depend on many factors beyond our control, including the accuracy and timeliness of information provided by the Client, third-party platform availability, regulatory changes, and implementation factors. B.L.K. O.P.S. Security Contractors LLC shall not be liable for outcomes resulting from inaccurate, incomplete, or untimely information provided by the Client or for factors beyond our reasonable control.
The limitations and exclusions in this section apply to the fullest extent permitted by applicable law. Some jurisdictions do not allow the exclusion or limitation of certain types of damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless B.L.K. O.P.S. Security Contractors LLC will return or transfer Client Materials in accordance with the terms of the service agreement.
Upon termination, all licenses and rights granted to you under these Terms cease immediately. Provisions of these Terms that by their nature should survive termination — including but not limited to intellectual property, confidentiality, limitation of liability, and indemnification — shall survive and remain in effect.
These Terms and any dispute arising out of or related to them or to the use of our Website or Services shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Gillette, Campbell County, Wyoming, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein. In the event of a Force Majeure Event, B.L.K. O.P.S. Security Contractors LLC will use commercially reasonable efforts to resume performance as soon as practicable. If a Force Majeure Event continues for more than thirty (30) days, either party may terminate the affected service engagement without penalty. Fees paid in advance for Services not performed due to a Force Majeure Event will be prorated and refunded or credited.
The party affected by a Force Majeure Event shall promptly notify the other party of the event, its expected duration, and the steps being taken to mitigate its impact. Failure to provide timely notice may limit the protections of this section.
These Terms, together with any service agreement entered into between you and B.L.K. O.P.S. Security Contractors LLC and any policies referenced herein, constitute the entire agreement between the parties regarding the use of our Website and Services and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral.
